Expanding a Dubai Free Zone Business to the Mainland: Which Route Fits Your Growth Plan?
A free zone company may reach a point where it wants to serve more Dubai mainland customers, take part in local supply chains or pursue new contracts. Before expanding, the company needs to check which approvals apply to its activity and how the expansion will affect its operations.
Dubai Executive Council Resolution No. 11 of 2025 provides a framework for free zone establishments to conduct approved activities outside their free zone and within Dubai. It outlines three possible routes: a mainland branch, a branch operating out of the free zone, or a permit for specific activities. The right route depends on the business activity and the company’s needs.
Three routes to consider
| Route | What it allows |
|---|---|
| Branch in Dubai | The free zone company establishes a branch within Dubai, subject to the required approvals. |
| Branch operating from the free zone | The company operates in Dubai through a branch while remaining based in its free zone. |
| Temporary permit | The company applies to conduct specific approved activities in Dubai for up to six months. |
The two branch licences are valid for one year and can be renewed. The Resolution lists a fee of AED 10,000 per year for a branch operating out of the free zone and AED 5,000 for a temporary permit. Check the current DET requirements and fees before applying.
What should the company assess first?
Before selecting a route, review:
- The activity: Confirm whether the proposed activity is eligible and whether any sector approvals are required.
- The operating model: Decide whether the company needs a physical mainland branch, wants to remain based in the free zone, or needs approval for specific work.
- The free zone authority’s requirements: Prior approval from the relevant licensing authority may be needed.
- The financial records: Companies conducting approved activity outside the free zone must maintain separate records for that activity.
- The expansion plan: Estimate expected customers, costs, staffing and revenue before committing to a new licence or permit.
A permit under this Dubai framework applies to activity within the Emirate of Dubai. A company planning to operate in another emirate should check the requirements that apply there.
Make the route part of the business plan
A mainland expansion decision involves more than choosing a licence. Companies should consider how the route fits their target customers, delivery model, staffing and financial reporting. A clear plan can help owners compare options and identify approvals before launching the activity.
