DIFC SPVs in 2026: What the New Rules Mean for Investors and Family Businesses

Investors and business owners often use a Special Purpose Vehicle (SPV) to hold a specific investment or asset. In DIFC, SPVs are known as Prescribed Companies.

In July 2026, DIFC amended its Prescribed Company Regulations, broadening access to the regime. Under the updated rules, any applicant can apply to establish or continue a Prescribed Company, subject to the applicable requirements. In most cases, the company must appoint a DIFC-licensed Corporate Service Provider (CSP), unless it qualifies for an exemption.

What is a DIFC SPV used for?

A DIFC SPV is a passive holding company. It may be used for purposes such as:

  • Holding investments or other assets
  • Separating ownership of particular assets or liabilities
  • Supporting a financing or structured transaction
  • Holding assets for a family or investment structure

DIFC states that Prescribed Companies are not intended to carry out operational business or employ staff. If a structure needs to run day-to-day operations, another company type may be more suitable.

Does the updated regime mean an SPV is right for every investor?

No. Easier access does not make an SPV the right choice for every purpose. Before setting one up, consider:

  • What asset or investment the company will hold
  • Who will own and control the company
  • Whether the company needs to conduct business or hire employees
  • What ongoing reporting and administration will be required
  • Whether the structure involves third-party investors or regulated financial activity

An SPV is generally designed to hold assets or support a specific structure. A fund is designed for a different purpose and may involve additional regulatory and administration requirements. The right structure depends on the activity, ownership and investment plan.

What does a CSP do?

For a DIFC Prescribed Company that is not exempt, a DIFC-licensed CSP acts as the main administrative and compliance contact with the Registrar of Companies. DIFC describes the CSP’s role as supporting company filings, record keeping and ongoing compliance.

Where does fund administration fit in?

An SPV may be one part of a larger investment structure. Where a fund is involved, fund administration can support the ongoing administrative work set out in the service agreement, such as maintaining records and preparing investor reporting.

This makes it important to plan the structure and its administration together. A company may be straightforward to establish, but it still needs clear ownership records and reliable ongoing support.

Consider the structure before you incorporate

DIFC’s 2026 changes have expanded who can apply for a Prescribed Company. Investors and family businesses should still assess the purpose of the entity, its permitted activities and its ongoing obligations before proceeding.
